Areas of Practice

BUSINESS and corporate

Our business and corporate law attorneys are highly experienced and have practiced at large and small law firms and owned and operated start-up companies.  We assist companies with respect to choice of entity, business formation, debt and equity financing, corporate governance, employment and intellectual property agreements, mergers and acquisitions and commercial contracts of all types.

Our attorneys were among the first in Oregon to adopt cannabis regulatory law as a practice area within a full-service business law firm. We have worked with hundreds of companies in the industry on licensing, compliance, enforcement and administrative law hearings. We also have represented breweries, restaurants and vineyards in a variety of matters and transactions.

Our real estate and land use group is highly experienced with all manner of real estate transactional work, from purchase and sale agreements to commercial leases. We have experience with retail properties, industrial warehouses and processing facilities, agricultural land, and condominiums. Our local government land use and development practice ranges from preliminary property analyses and building permit issues to complex land use reviews and hearings.

Our attorneys are experienced in a wide variety of insolvency-related matters. We have represented trustees, receivers, lenders, trade creditors, creditors’ committees, equity holders and other parties in interest in bankruptcy and state courts throughout Oregon and Washington. Our attorneys have deep roots in the Pacific Northwest insolvency landscape, having served on bar committees, authored bar publications and presented at numerous continuing legal education events related to bankruptcy and receiverships.

Our litigation  practice group has represented Fortune 500 companies, national and regional financial institutions, and private companies of all sizes in high-stakes commercial litigation. No matter what the industry, we pride ourselves on our knowledge of our clients’ businesses and we work to avoid disputes in the first place. If litigation cannot be avoided, we strive to eliminate unnecessary fees and costs while always providing “big firm” quality representation and experience.

Most mediators and arbitrators know little to nothing about the cannabis industry, making it challenging for counsel to resolve industry disputes outside of court. Our ADR team, led by Matt Goldberg, is well positioned to effectively and efficiently serve as mediator or arbitrator for your cannabis industry or other commercial or real estate dispute. We have over 25 years of experience mediating and arbitrating cases for clients and our deep industry knowledge can be instrumental in achieving a favorable result.
